What are Hong Kong Company Registers (香港公司登記冊)?

Under the Companies Ordinance (Cap. 622), every Hong Kong private company is legally required to maintain a set of statutory registers at its registered office. These registers — including the Register of Members (ROM), Register of Directors (ROD), Register of Company Secretaries (ROCS), and Significant Controllers Register (SCR) — document the company's key principals and ownership structure, and must be kept up to date at all times. Failure to maintain accurate registers may result in regulatory penalties.

What is the Significant Controllers Register (SCR / 重要控制人登記冊)?

Introduced under Part 2, Division 4 of Cap. 622, the Significant Controllers Register (SCR) records individuals or legal entities who hold significant control over a company — typically through more than 25% share ownership, voting rights, or the power to appoint or remove a majority of directors. The SCR must be kept at the registered office and made available to law enforcement on request. HKSS records the nature of control per the official CR guidelines and synchronises SCR entries with the company's ownership records automatically.

The Challenge

Manual register maintenance is slow and prone to inconsistency

Many company secretarial teams still maintain statutory registers in disconnected spreadsheets or Word documents — creating version control issues, data inconsistencies, and compliance risk.

01

Data entered twice

Director and shareholder details recorded in one system must be manually re-entered into separate register documents — doubling the workload and introducing errors.

02

Register format inconsistency

Different team members maintain registers in different formats. When a client requests an inspection copy, additional formatting work is required to produce a clean, professional document.

03

SCR tracking is complex

Recording the nature of control for each significant controller — with reference to the official CR guidelines — is time-consuming when done manually, and easy to overlook during corporate changes.

FAQ

Common questions about Hong Kong company registers

What are the statutory registers required under the Hong Kong Companies Ordinance?

Under the Hong Kong Companies Ordinance (Cap. 622), every private company is required to maintain a number of statutory registers at its registered office, including the Register of Members (ROM), Register of Directors (ROD), Register of Reserve Directors (RORD), Register of Company Secretaries (ROCS), and the Significant Controllers Register (SCR). Companies must keep these registers up to date and make them available for inspection as required by law.

What is the Significant Controllers Register (SCR)?

The Significant Controllers Register (SCR), also known as the Beneficial Owners Register, is a statutory register required under the Companies Ordinance (Cap. 622, Part 2, Division 4). It records individuals or legal entities who hold significant control over a company — such as holding more than 25% of shares or voting rights, or having the right to appoint or remove a majority of the board. Companies must keep the SCR at their registered office and make it available to law enforcement authorities upon request.

What is the Register of Directors (ROD) in Hong Kong?

The Register of Directors (ROD) is a statutory register that every Hong Kong company must maintain under the Companies Ordinance. It records the particulars of each director, including their name, identification details, address, date of appointment, and date of ceasing. HKSS automatically synchronises the ROD with the company's director records and allows one-click PDF export of the formatted register.

What is the Register of Members (ROM) in Hong Kong?

The Register of Members (ROM) records the shareholders of a Hong Kong company, including their names, addresses, share class, number of shares held, and transaction history (allotments and transfers). Companies Ordinance (Cap. 622) requires the ROM to be kept at the registered office. HKSS maintains the ROM automatically from share capital and shareholder data and generates a formatted PDF register on demand.

How does HKSS help company secretaries maintain statutory registers?

HKSS automatically populates the SCR, ROD, RORD, ROCS, and ROM from the company profile and officer/shareholder records. When officer changes or share transactions occur, the registers are updated accordingly. Company secretaries can preview all registers in a formatted view, export individual or combined PDF files, customise register titles and layouts, and control privacy settings for sensitive personal data.

Stop maintaining registers manually.

Let HKSS generate, maintain, and export your SCR, ROD, ROM, and ROCS automatically — so your team can focus on client service, not paperwork.
